With Vanta Trust Center, admins can gate confidential documentation, such as a SOC 2 report, security report, or a previously filled-out questionnaire. This will allow individuals, potential customers, and clients to request access to your Trust Center, but it requires their signature on an NDA first- keeping your information private and secure. As a Vanta admin, you can decide how to send or not send NDAs.
What is a Clickwrap agreement?
A click-wrap agreement is a digital contract where you agree to terms and conditions by clicking a button, usually labeled "I agree" or "Accept," before you can use a website, service, or software. It's like signing a contract online with just a click. These agreements are standard for things like app downloads or creating accounts on websites. As long as the terms are clearly presented and you have a chance to read them before clicking, they are usually legally binding.
Prerequisites
NDAs will only be available when users need to request access to your Trust Center or Trust Center documents. If you have a publicly accessible Trust Center or do not require access requests for documents, your NDA will not be enforced:
Adding your Clickwrap NDA to Vanta
Navigate to Settings under the Customer Trust tab
Click on Set up
Click on the dropdown under NDA Provider and select Clickwrap or another option if available via your Integrations (such as Docusign)
Click Browse to select your NDA file to be uploaded. DOCX and PDF files are currently supported.
Select Save
You can view the uploaded file by clicking on the file name or upload a new file by clicking on Edit.
Please Note: NDAs with a watermark are only available for unencrypted PDFs. If the document is encrypted, the watermark will not be applied.
Approving Requests
From the Access section, Admins or Trust managers can Approve or Deny the requests
If approving, select the Access level, and select Approve
After approval, the customer will be sent an access link to view your Trust Center and will then be required to accept the NDA
Exporting NDAs Signature History
From the Trust Center page, select Settings
Scroll to the Require non-disclosure agreement (NDA) section
Select Download signature history
Accessing and Downloading a Signed NDA
You can review a signed NDA directly from the Access page. This is helpful when you need a copy of the agreement someone signed before viewing your Trust Center documents.
Follow these steps to locate and download the signed NDA:
Go to the Access page by selecting the Trust Center under the Customer Trust tab
Select the Viewers granted access tab
Find the Viewer Name of the person who signed the NDA
Select the Clickwrap icon in the NDA column to open a copy of the signed NDA
Select the Download icon in the top right corner to download the file
